Ledgerpost terms of service

These terms apply to the Ledgerpost app for Shopify ("the app"), provided by [FOUNDER: Libanto legal entity name and registered address] ("Libanto", "we"), and to the Shopify store that installs it ("you"). By installing the app you accept these terms. [COUNSEL: acceptance mechanism and who may accept on the store's behalf.]

1. What the app does

  1. The app reads your store's orders, payments, refunds, products, customers and Shopify Payments payouts from Shopify, and writes the corresponding records (customers, items, invoices, sales receipts, payments, credit memos, refund receipts, deposits and journal entries) to the QuickBooks Online company you connect.
  2. The app works with QuickBooks Online companies in the United States with US dollars as the home currency. It does not support QuickBooks Desktop, other QuickBooks regions, or other accounting systems.
  3. Nothing is written to QuickBooks until you review a dry run and approve a go-live date. Changes to mappings and posting rules apply to future events only; changing what was already posted goes through a correction plan you approve.
  4. When the app cannot post an event correctly it holds it, shows the cause and the action that resolves it, and waits for your decision. You can pause posting at any time.
  5. The app records what Shopify reported in QuickBooks. It is not an accounting, bookkeeping, tax or legal service, it does not reconcile your whole business, and it does not decide how your business should account for its sales. You, or your bookkeeper or accountant, remain responsible for your books, your tax filings, and reviewing what the app posts.

2. Your responsibilities

  1. Keep an active QuickBooks Online subscription and a user who can authorize the connection.
  2. Choose the accounts, items, tax settings and posting rules the app uses, and review the dry run before approving go-live.
  3. Review held events in the app's exception list and decide them.
  4. Use the app only for stores and QuickBooks companies you are authorized to manage.
  5. Your use of Shopify and of QuickBooks Online remains governed by their own terms. The app is not made or endorsed by Shopify or Intuit.

3. Plans and billing

  1. All charges are billed by Shopify through your Shopify invoice. We do not collect payment details.

  1. Paid plans include a 14-day free trial. [FOUNDER: confirm the trial terms configured in Shopify's managed pricing.]
  2. An order counts toward the monthly limit when it is first posted to QuickBooks in that month. Retries, later payments, refunds, edits, test orders, orders cancelled before posting, and historical backfill do not count.
  3. At 80 % of the limit the app warns you. At 110 % new orders wait and are posted when you upgrade or when the month rolls over; payments, refunds and edits on orders already posted continue to post.
  4. Plan changes and cancellations are made through Shopify. [COUNSEL: refund policy, if any; price-change notice.]

4. Data

How the app handles your store's data and your customers' data is described in the privacy policy. [COUNSEL: data processing terms, if offered as a separate agreement.]

5. Support

Support is provided by email at support@getledgerpost.com. [FOUNDER: publish response times only once they are staffed; the product target is a first response within 8 US business hours on Standard and 4 on Plus and Pro.]

6. Availability and changes to the app

  1. We may change the app, including adding or removing features. [COUNSEL: notice commitment for changes that reduce functionality.]
  2. We may pause posting for all stores in an emergency (for example a defect that could write incorrect records). Events keep queuing and post after posting resumes.

7. Ending use

  1. You can uninstall the app at any time from your Shopify admin. Billing stops as Shopify's billing rules provide.
  2. Uninstalling does not remove records the app already wrote to QuickBooks; they are part of your QuickBooks company.
  3. After uninstalling, your store's data in the app is deleted as described in the privacy policy.
